Charges & Services – Halloo Franchise Partnership Proposal

1. Franchise Fee (Non-Refundable):
   A one-time, non-refundable franchise fee will be applicable upon joining the Halloo network.
2. Security Deposit:
   A refundable security amount will be collected, against which goods will be regularly supplied. This ensures a smooth product flow and inventory support.
3. Store Design – International Standards:
   Complete interior and exterior setup of the store will be undertaken by our design team, delivering a world-class aesthetic look aligned with the Halloo global brand.
4. Exclusive Brand Rights:
   Only Halloo-branded products will be permitted for sale in the franchise outlet. All goods will be supplied in Halloo packaging with branding—ensuring consistency across locations.
5. Protected Market Area:
   Each franchise location will be exclusive within a 3 km radius. No other Halloo franchise or seller will operate in this zone.
6. Advertising & Marketing:
   Halloo will conduct heavy promotional campaigns, both online and offline, to drive traffic and awareness in your area.
7. Standardized Setup Requirements:
   Franchisees must ensure seating, layout, and other infrastructure in line with our branding and operational standards.

Return Policy (Initial Adjustment Period)

To help you adjust to customer preferences in your area, we offer the following return policy during the initial 60-day setup phase:

• First 20 Days – 50% return allowed
• Next 20 Days – 30% return allowed
• Final 20 Days – 10% return allowed

After 60 days, product supply will be made only as per your confirmed order, and the return policy will cease as market demand will be better understood.

Additional Terms

• A detailed Memorandum of Understanding (MoU) will be signed, including a Non-Disclosure Agreement (NDA).
• Upon receipt of token advance, the registered franchise agreement will be executed.
• Operations will begin within 30 working days from the date of signing and advance clearance.
